EXHIBIT B OF THE COMMISSION AGREEMENT SIGNED BY AND BETWEEN AEROMEXICO AND THE AGENCY
UP FRONT COMISSION TERMS AND CONDITIONS
January 1st of 2023 to December 31st of 2023
R E P R E S E N T A T I O N S
The Parties represent through their legal representative and under oath, that: a) They are duly incorporated companies, b) Their
legal
representative has the authority to bind his principal, which authority has not been revoked or limited in any manner whatsoever,
and (c) it is their
desire to enter into this Exhibit B voluntarily, without being physically or morally coerced, for which there will is free of error,
misrepresentation
or bad faith from any defect of consent that may nullify it.
Now, therefore, the contracting parties agree to be bound under this the terms of this Exhibit B pursuant to the following:
A. OVER-COMMISSION
AEROMEXICO will pay THE AGENCY an Over-commission on Passenger sales issued with 139 AEROMEXICO plate. This
incentive will be paid at the
time of ticketing through BSP based on “Chart 1: Over Commission” below. If the ticket or any coupon issued is reimbursed or
subsequently canceled, the
Over commission taken by THE AGENCY will be debited by AEROMÉXICO through BSP reconciliation processes.

AEROMEXICO will pay THE AGENCY an Over-commission on Passenger sales issued with 139 AEROMEXICO plate. This

time of ticketing through BSP based on “Chart 1: Over Commission” below. If the ticket or any coupon issued is reimbursed or
subsequently canceled, the
Over commission taken by THE AGENCY will be debited by AEROMÉXICO through BSP reconciliation processes.
Terms and Conditions:
1. Applicable Up-Front Commission must be taken by fare class at the time of ticketing. Higher commission will apply to the entire
itinerary. No retroactive
commission will apply.
2. Over commission payment is not applicable on “V” class, groups “A” class, Interlineal flights and ancilliaries.
3. Applies on ROW markets only with POO (Point of Origin) US, CA & TIJ (Excludes transborder markets US-MX).
4. Code share flights are commissionable, meaning those operated by the partner with AM * code.
5. No commission allowed on manually stored fares.
6. In case of stopover for more than 24 hours, the commission should be taken by THE AGENCY according to each segment.
7. AEROMEXICO reserves the right to amend or withdraw this Exhibit B with one (1) day written notice
8. Terms & conditions of this Exhibit B are to be kept strictly confidential.
9. Tickets issued by THE AGENCY and paid with a UATP Card will be commissionable if the UATP Card was issued by
AEROMÉXICO to THE
AGENCY as a form of payment of commissions and/or refunds made during the COVID-19 contingency.
10. Exhibit B Term: this Exhibit B of the commission agreement will be effect as of January 1st of 2023 to December 31st of 2023.
11. Early termination: AEROMEXICO may terminate this Agreement, at any time, without cause, upon thirty (30) days prior written notice to
the other Party
